Oversee the governance framework for lawful use of information, privacy, intellectual property, permissions and documented data rights across BTG technology and commercial initiatives.

APPOINTED ROLE HOLDERBarry Mackenzie
Lawful authority and information rights

This director provides a Board-level focus on the difference between technically recorded permissions and rights that are actually valid and enforceable. It is a critical bridge between BTG’s research systems and future users, licensors or institutions.

Core responsibilities

  • Review corporate privacy commitments, appropriate collection and retention of personal data, access restrictions and revocation processes.
  • Assess intellectual-property ownership, licence terms, permitted derivation and source consent before protected data or inventions are reused.
  • Examine ENTITY and ADAM technical identity, authority and revocation designs, distinguishing cryptographic proof from lawful title or contractual rights.
  • Review the legal architecture, disclosure standards and product distinctions among personal-data connections, commercial-use licences, IP/revenue rights and potential investment securities.
  • Coordinate specialized external legal or regulatory advice where required for particular jurisdictions, contractual structures or regulated activities.
  • Review governance risks from cross-border data flows, data localization, prohibited uses, security incidents and inaccurate statements about system readiness.

Areas of oversight

  • Personal privacy and organizational data stewardship.
  • IP and licensing provenance for DataChips, Circuit Genomes, BTDU assets and third-party inputs.
  • Rights and issuer disclosures for Bit Trade Global Exchange.
  • Contractual permissions and consent boundaries for BTG Bridge.

Reports and practical outcomes

  • Board-ready reviews of data-rights and confidentiality exposure.
  • Rights provenance and disclosure criteria for proposed offerings or licences.
  • Recommendations for privacy policies, contractual controls and external advice.
  • Escalation records for rights conflicts, consent issues or material compliance concerns.

Works with

  • CEO & Chair for policy and material decisions
  • Indigenous Affairs & Data Sovereignty on community-governed information
  • US Validation for cross-border exposure
  • CFO, Corporate Secretary and external counsel as needed

Questions this role brings to the Board

  • Who has the actual legal authority to license or share this data?
  • Can an individual withdraw consent and how does that change downstream use?
  • Does a proposed instrument create obligations requiring a different regulatory structure?
