COMMERCIAL LAW AND INVESTOR PROTECTION

Commercial permissions and securities law are separate

A use-rights marketplace is not automatically a securities marketplace

Contractual data licences and service sales may be governed by intellectual-property, data-protection and commercial laws. When an instrument creates financial exposure, distribution and secondary transfers raise separate securities, dealer, issuer and market-operator questions. Labelling an asset a token, chip or DCO does not bypass legal characterization.

Primary and secondary investment rules differ

An issuer may, subject to legal requirements, pursue a properly defined prospectus-exempt primary issuance. That does not authorize a public order-matching venue or unrestricted resale. Marketplace recognition, registered intermediaries, applicable resale controls and settlement arrangements must be evaluated for the exact market and participants.

This dossier is a planning source, not a regulatory filing

The October 19, 2026 dossier is explicitly marked as an unfiled design and consultation draft. It is not evidence of approval by the B.C. Securities Commission or CIRO, nor an independent valuation. BTG’s public site must identify any factual status change only after the relevant external record exists.
